1. Acceptance of Terms
By accessing or using RescueShield's platform and services, you agree to be bound by these Terms of Service. If you do not agree, you may not access or use any RescueShield services.
2. Services Description
RescueShield provides digital brand protection, anti-counterfeiting, and intellectual property enforcement services including monitoring, intelligence gathering, enforcement coordination, and reporting.
3. Account & Access
Platform access is provided on a per-seat, per-organization basis. You are responsible for maintaining confidentiality of your login credentials and all activities under your account.
4. Acceptable Use
You agree not to use services for unlawful purposes, submit false IP claims, reverse engineer proprietary systems, resell platform access without authorization, or interfere with platform integrity.
5. Intellectual Property
You retain ownership of your trademarks and brand assets. RescueShield retains all methodologies, detection algorithms, and proprietary technology. Neither party may use the other's IP without consent.
6. Payment Terms
Service fees are specified in your order form. Payments are due within 30 days of invoice. Late payments accrue interest at 1.5% per month. RescueShield may suspend services for accounts 60+ days overdue.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information for 3 years following termination of the service agreement.
8. Warranties & Disclaimers
RescueShield warrants professional, workmanlike service. We do not warrant that enforcement actions will result in immediate takedown. EXCEPT AS STATED, ALL WARRANTIES ARE DISCLAIMED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESCUESHIELD'S AGGREGATE LIABILITY SHALL NOT EXCEED FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM. NO CONSEQUENTIAL DAMAGES.
10. Termination
Either party may terminate with 30 days written notice. RescueShield may terminate immediately for breach, non-payment, or prohibited conduct.
11. Governing Law
These Terms are governed by the laws of Texas, United States. Disputes shall be resolved exclusively in courts located in Ennis, Texas.
